These Terms of Service govern your use of ScanZed, a product of ScanZed. By creating an account or using the service you agree to be bound by these terms.
1. Acceptance of Terms
By accessing or using ScanZed — including by clicking "I Agree" during registration or at checkout — you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the service. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Description of Service
ScanZed is a desktop productivity tool designed to assist Zambian accountants and bookkeepers in extracting invoice data from QR codes published under the Zambia Revenue Authority (ZRA) Smart Invoice system. The application scans QR codes via screen capture or a paired mobile companion, retrieves the associated invoice data, and formats it for use in accounting workflows. ScanZed is provided as a subscription-based service.
3. Third-Party Service Dependency (ZRA)
ScanZed relies on data published by the Zambia Revenue Authority (ZRA) Smart Invoice system. While we strive to provide uninterrupted access, any downtime, data changes, or unavailability on ZRA's end will directly affect ScanZed's functionality. ScanZed does not guarantee availability during periods of ZRA system outages and cannot be held liable for service disruptions caused by third-party infrastructure. Subscription fees are not refunded due to ZRA-related outages.
4. Accuracy & User Responsibility
ScanZed is a tool to assist with data extraction and should not be used as the sole source of truth for financial, tax, or accounting decisions. All information extracted by the application must be independently verified against official ZRA documentation or original invoices. ScanZed accepts no liability for inaccuracies, errors, omissions, or financial loss arising from reliance on data produced by the application. You remain solely responsible for compliance with all applicable Zambian tax and accounting laws.
5. Subscription & Payment Terms
ScanZed is offered on a monthly subscription basis. By subscribing you authorise us to charge the applicable fee for the selected plan. Prices are displayed in Zambian Kwacha (ZMW) and are subject to change with 30 days' notice.
- Subscriptions activate immediately upon confirmed payment.
- No refunds are issued once a subscription period has been activated.
- You may cancel at any time; your access continues until the end of the current billing period.
- Failed payments may result in suspension of access until the outstanding amount is settled.
- Payments are processed through our third-party payment gateway; we do not store card or mobile money credentials.
6. License Grant
Subject to your compliance with these Terms and timely payment of applicable fees, ScanZed grants you a limited, non-exclusive, non-transferable, revocable license to install and use ScanZed solely for your own internal business purposes. The number of devices on which you may activate the software is limited by your subscription plan. You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the software or make it available to any third party.
7. Intellectual Property
ScanZed, including all software, documentation, branding, and associated materials, is the exclusive property of ScanZed and is protected by copyright and other intellectual property laws of the Republic of Zambia and applicable international treaties. Nothing in these Terms transfers any ownership rights to you.
8. Limitation of Liability
To the fullest extent permitted by the laws of the Republic of Zambia, ScanZed and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of ScanZed. In no event shall our total cumulative liability to you exceed the amount you paid for the service in the three months immediately preceding the claim.
9. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Zambia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Zambia.
10. Changes to Terms
We may update these Terms from time to time. When we do, we will notify you by email and/or by displaying a notice within the application. Your continued use of ScanZed after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the service and cancel your subscription.
